Crest Medical Limited

1. Definitions
Crest, we, us, our — Crest Medical Limited (and where applicable Wallace Cameron as a trading name).
Buyer, you, your — the person, company or organisation purchasing Goods or Services.
Goods — products supplied by Crest.
Contract — any order accepted by Crest under these Terms.
2. Application of Terms
These Terms apply to all Contracts for the supply of Goods and Services by Crest and supersede prior agreements unless expressly agreed in writing. Any variation to these Terms must be agreed in writing by an authorised representative of Crest.
3. Prices and VAT
All prices are quoted exclusive of VAT unless otherwise stated. VAT will be charged at the prevailing rate.
Crest reserves the right to amend prices, correct errors or withdraw products; the price in force at the date of order acceptance shall apply. Published Recommended Retail Prices (RRPs) are advisory only and do not set resale prices.
4. Payment Terms
Standard terms for customers with approved credit accounts: 30 days end of month (30 EOM). Payment is due on the 30th day following the month of the invoice.
If the due date falls on a weekend or UK bank holiday, payment is due on the next working business day. We reserve the right to withdraw or amend credit facilities at our discretion. Customers without an approved credit account must pay on a pro forma basis. Crest may withdraw or amend credit facilities at its discretion. Late payments may incur interest and statutory compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Orders, Acceptance and Price Changes
Orders are subject to acceptance by Crest. Acceptance is confirmed by written order acknowledgement. Crest may refuse or cancel any order prior to acceptance. The price charged will be the price in force at the date of order acceptance unless otherwise agreed in writing.
6. Carriage, Delivery Charges and Minimum Order Values
• UK Mainland: Minimum order value £250 (excluding VAT); free carriage on orders over £250; £15 delivery charge for orders under £250.
• Portal orders (Crest or Wallace Cameron Portal): No minimum order value; delivery £12.50.
• Northern Ireland: Minimum order value £250 (excluding taxes/duties); parcel deliveries £10 per parcel; pallet deliveries £150 per pallet (excluding taxes/duties).
• Republic of Ireland: Minimum order value £250 (excluding taxes/duties); parcel deliveries £40 per parcel; pallet deliveries £180 per pallet (excluding taxes/duties).
• Export (Non UK & ROI): Minimum order value £250 (excluding taxes/duties); delivery/shipping charges quoted per order based on weight and dimensions.
7. Delivery and Risk
Delivery dates are estimates and cannot be guaranteed. Crest is not liable for delays outside its reasonable control. Risk in the Goods passes to the Buyer on delivery
Delivery is complete when Goods are unloaded at the Buyer’s premises or collected by the Buyer’s carrier. Risk passes to the Buyer on delivery; title remains with Crest until full payment is received (see Retention of Title).
8. Retention of Title
Goods remain the property of Crest Medical or Wallace Cameron until payment has been received in full for all Goods supplied. Until title passes the Buyer holds the Goods as bailee, stores them separately, keeps them insured and notifies Crest of any third party claims.
9. Shortages, Damages and Claims
Any shortages or damages must be reported in writing within 3 working days of delivery. Reported shortages will be investigated and, if confirmed, Crest will provide credit or replacement. For non delivery of whole consignments, notify Crest in writing within seven (7) days of invoice or delivery note (whichever is earlier). For damage or partial loss, notify within three (3) days.
10. Returns, Authorisation, Restocking and Handling Charges
Returns require prior written authorisation from Crest and must include a completed Return Authorisation form supplied by Crest. Crest reserves the right to refuse unauthorised returns. Authorisation should be sought promptly and in accordance with Crest’s returns procedure; where the Word document updates apply, authorisation is required within 3 working days of receipt for the specific return provisions it sets out. Items returned for credit or replacement must be unused, complete and in original packaging with instructions and accessories.
Returns authorised due to customer error will incur a 20% handling charge deducted from the credit amount; return carriage is the customer’s responsibility. Refrigerated items and controlled drugs cannot be returned except where the return is due to Crest’s direct error.
11. Warranty and Remedies
Crest warrants that Goods will be of satisfactory quality and fit for any particular purpose made known in writing. Remedies for defective Goods are limited to repair, replacement or refund at Crest’s option, subject to notification and inspection requirements. Crest’s liability is limited as set out in these Terms.
12. Limitation of Liability
Except for liability for death or personal injury caused by Crest’s negligence or for fraudulent misrepresentation, Crest’s total liability under any Contract is limited to the Contract price. Crest is not liable for indirect or consequential losses, including loss of profit or business.
13. Price Changes
Whilst every effort is made to ensure accuracy, Crest Medical reserves the right to amend prices, correct errors or omissions, or withdraw products at any time without prior notice. The prices in force on the date of order acceptance shall apply.
14. Recommended Retail Prices
From time to time, Crest Medical may publish Recommended Retail Prices (RRPs). All RRPs are advisory only and do not constitute fixed or minimum resale prices. Customers are free to set their own resale prices independently and without reference to Crest Medical.
15. Cancellation
The Buyer may not cancel an accepted order without Crest’s prior written consent. Crest may charge for handling, restocking or other costs as set out above.
16. Recalls, Complaints and Adverse Events
Crest will manage product recalls and will contact Buyers to arrange collection of affected Goods at Crest’s expense where required. Buyers must notify Crest immediately of any complaints or adverse events related to Crest Goods.
17. Export, Resale and Regulatory Compliance
Buyers are responsible for compliance with export controls, customs, duties and local regulations for Goods exported outside the UK. Goods supplied for resale must comply with applicable labelling and regulatory requirements; Crest’s RRPs are advisory only.
18. Force Majeure, Assignment and Governing Law
Crest is not liable for failure to perform due to events beyond its reasonable control; performance times are extended accordingly. Contracts are governed by English law and subject to the non exclusive jurisdiction of the English courts. Contracts may not be assigned by the Buyer without Crest’s prior written consent.
19. Amendments
We reserve the right to amend these trading terms at any time. The terms in force at the date of order shall apply.
